These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and GreenLedger Technologies Ltd. (“GreenLedger,” “we,” “us,” or “our”), a company registered in the United Arab Emirates. By accessing or using the GreenLedger platform, website, APIs, and related services (the “Services”), you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization.
GreenLedger provides a cloud-based software platform for carbon accounting, regulatory compliance reporting, carbon credit marketplace access, employee sustainability engagement, and supply chain environmental intelligence. The Services are designed to assist organizations in meeting their obligations under environmental regulations including, but not limited to, UAE Federal Decree-Law No. 11/2024 on Climate Change.

The compliance reports generated by the platform are tools to assist your compliance efforts and should be reviewed by qualified professionals before submission to regulatory authorities.
4.1 Billing: Subscription fees are billed monthly or annually in advance, as selected at the time of purchase. All fees are quoted in United States Dollars (USD) unless otherwise specified.
4.2 Price Changes: We may adjust pricing with 60 days' written notice. Price changes take effect at the start of the next billing cycle following the notice period.
4.3 Taxes: All fees are exclusive of applicable taxes, including UAE VAT (currently 5%). You are responsible for all taxes associated with your use of the Services.
4.4 Late Payments: Overdue invoices accrue interest at 1.5% per month or the maximum rate permitted by UAE law, whichever is lower. We reserve the right to suspend access after 15 days of non-payment following written notice.
4.5 Marketplace Commissions: Carbon credit transactions executed through the GreenLedger marketplace are subject to a commission of 5-15%, as disclosed at the time of transaction. Commission rates are determined by credit type, volume, and subscription tier.
We offer a 14-day free trial for Starter and Professional plans. No credit card is required. At the end of the trial period, your account will be downgraded to read-only access unless you subscribe to a paid plan. Trial data is retained for 30 days post-expiry, after which it may be permanently deleted.
6.1 Your Data: You retain all ownership rights to the data you input into the platform (“Client Data”). We do not claim ownership over Client Data. You grant us a limited, non-exclusive license to process Client Data solely for the purpose of providing the Services.
6.2 Our Platform: The GreenLedger platform, including all software, algorithms, AI models, user interfaces, documentation, and proprietary methodologies, is and remains the exclusive property of GreenLedger Technologies Ltd., protected by intellectual property laws of the UAE and international treaties.
6.3 Aggregated Data: We may use anonymized, aggregated data derived from platform usage to improve the Services, generate industry benchmarks, and conduct research. Such data will never identify individual clients or their specific emissions profiles.

GreenLedger commits to the following uptime guarantees based on subscription tier:
Scheduled maintenance windows (communicated 72 hours in advance) are excluded from uptime calculations. Service credits for SLA breaches are issued as account credits: 10% for each 0.1% below the guaranteed uptime, capped at 30% of the monthly fee.
TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW:
You agree to indemnify, defend, and hold harmless GreenLedger, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your violation of any applicable law; (c) inaccurate or fraudulent data submitted to the platform; or (d) your negligence or willful misconduct.
11.1 By You: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
11.2 By Us: We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, or fail to pay fees after the notice period described in Section 4.4.
11.3 Data Export: Upon termination, you may request an export of your Client Data in CSV or JSON format within 60 days. After 60 days, Client Data may be permanently deleted in accordance with our data retention policy.
These Terms are governed by the laws of the United Arab Emirates and the Emirate of Dubai.
Any dispute arising from these Terms shall be resolved as follows:
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, government actions, sanctions, cyberattacks, pandemic, war, or disruption of critical infrastructure.
We reserve the right to modify these Terms. Material changes will be communicated via email to account administrators at least 30 days before taking effect. Continued use after the effective date constitutes acceptance. If you do not agree with the modified Terms, you may terminate your subscription in accordance with Section 11.
