These Terms of Service ("Terms") govern your access to and use of the GreenLedger platform, website, and related services (collectively, the "Service") provided by GreenLedger Technologies Ltd ("GreenLedger," "we," "us," or "our"), a company incorporated in the Jakarta Global Market (ADGM). By accessing or using the Service, you agree to be bound by these Terms.
By creating an account, accessing, or using the GreenLedger platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and any additional guidelines or rules that may be posted on the platform. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree with any part of these Terms, you must not access or use the Service. We reserve the right to refuse service to anyone for any reason at any time, subject to applicable law. Your continued use of the platform following any modifications to these Terms constitutes acceptance of those changes.
GreenLedger is a carbon compliance platform designed to help enterprises track, manage, and report their greenhouse gas emissions in accordance with Indonesia Carbon Law (PP No. 98/2021), GHG Protocol, and other international regulatory frameworks. The platform provides automated emissions calculations, real-time compliance dashboards, regulatory reporting tools, and audit-ready documentation.
Our Service includes a carbon credit marketplace that facilitates the buying, selling, and retirement of verified carbon credits from accredited registries. The marketplace connects enterprises with carbon credit projects to help offset residual emissions and meet compliance obligations. All marketplace transactions are recorded on our platform for transparency and audit purposes.
We continuously develop and improve our platform, and may add, modify, or discontinue features at our discretion. We will provide reasonable notice before discontinuing any core functionality that may materially affect your use of the Service. Beta or preview features are provided "as-is" without any guarantees of availability or performance.
To access the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the accuracy of your account information and must promptly update it if any changes occur. Providing false or misleading information may result in immediate termination of your account.
If you are registering on behalf of a company or organization, you represent that you have the legal authority to bind that entity to these Terms. The account owner is responsible for all activities that occur under their account, including the actions of any team members or authorized users they invite to the platform.
You are responsible for safeguarding your account credentials and must not share your password with any third party. You must use a strong, unique password and enable multi-factor authentication when available. You agree to notify us immediately of any unauthorized access to or use of your account. GreenLedger will not be liable for any loss or damage arising from your failure to comply with these security obligations.
GreenLedger offers three subscription tiers: Starter, Professional, and Enterprise. Each plan includes different feature sets, usage limits, and support levels as described on our Pricing page. You agree to pay the fees associated with your selected plan in accordance with the billing terms presented at the time of purchase.
Subscriptions are billed on a monthly or annual basis, as selected during checkout. All fees are quoted in US Dollars unless otherwise specified. Annual subscriptions are billed upfront for the full year and include a discount compared to monthly billing. Taxes, including Indonesia VAT, will be added to your invoice where applicable.
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and no pro-rata refunds will be issued for partial periods. We reserve the right to adjust pricing with 30 days prior notice.
The GreenLedger marketplace facilitates transactions involving carbon credits issued by third-party registries such as Verra (VCS), Gold Standard, and regional accreditation bodies. GreenLedger acts as an intermediary platform and does not itself issue, generate, or guarantee carbon credits. All credits available on the marketplace have been verified by their respective issuing registries.
Carbon credit prices are determined by market conditions and may fluctuate significantly. GreenLedger does not guarantee the future value, price stability, or liquidity of any carbon credits purchased through the marketplace. You acknowledge that carbon credit transactions involve inherent risks, and you are solely responsible for evaluating the suitability of any credits for your compliance needs.
When you retire carbon credits through our platform, GreenLedger records the retirement in our system and initiates the retirement process with the relevant registry. Retirement is considered final once confirmed by the issuing registry. You will receive a retirement certificate for your records. GreenLedger is not responsible for delays or issues at the registry level that may affect the retirement timeline.
You retain full ownership of all emissions data, compliance documents, and other content that you upload, submit, or generate through the GreenLedger platform. We do not claim any ownership rights over your data. Your data is your property, and you may export it at any time using our built-in data export tools.
By using the Service, you grant GreenLedger a limited, non-exclusive, worldwide license to process, store, and display your data solely for the purpose of providing and improving our services. This license terminates when you delete your data or close your account. We may use anonymized, aggregated data derived from your usage for analytics and benchmarking purposes, provided that such data cannot be used to identify you or your organization.
GreenLedger provides tools and information designed to assist your organization with carbon compliance obligations. However, our platform does not constitute legal, regulatory, or professional advice. While we strive to ensure the accuracy of our calculations and reports, we do not guarantee that using our Service will ensure full compliance with any specific law, regulation, or standard.
Regulatory requirements are complex and subject to change. You are solely responsible for ensuring that your organization meets its compliance obligations. We recommend consulting with qualified legal and environmental compliance professionals in conjunction with using our platform. GreenLedger shall not be held liable for any fines, penalties, or other consequences resulting from your reliance on the platform for compliance purposes.
To the maximum extent permitted by applicable law, GreenLedger and its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Service.
In no event shall GreenLedger's total aggregate liability to you for all claims arising from or related to the Service exceed the amount you have paid to GreenLedger in the twelve months preceding the event giving rise to the claim. This limitation applies regardless of the theory of liability, whether in contract, tort, strict liability, or otherwise.
Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law. Nothing in these Terms shall limit our liability for fraud, gross negligence, or any other liability that cannot be excluded by law.
Either party may terminate this agreement at any time. You may cancel your subscription and close your account through your account settings or by contacting our support team. We may suspend or terminate your access to the Service immediately if you breach these Terms, engage in fraudulent activity, or fail to pay your subscription fees after reasonable notice.
Upon termination, you will have a 90-day data export period during which you can download your emissions data, compliance reports, and other content from the platform. After this period, your data will be permanently deleted from our production systems in accordance with our data retention policy. Certain provisions of these Terms, including limitation of liability, governing law, and dispute resolution, shall survive termination.
These Terms shall be governed by and construed in accordance with the laws of the Jakarta Global Market (ADGM), United Arab Emirates. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the ADGM Courts.
You agree that the ADGM provides a fair and neutral legal framework for the resolution of commercial disputes. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded from these Terms.
Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute through good-faith negotiation. Either party may initiate the dispute resolution process by sending a written notice to the other party describing the nature of the dispute and the relief sought. The parties shall endeavor to resolve the dispute within 30 days of receipt of such notice.
If the dispute cannot be resolved through negotiation, either party may submit the dispute to mediation administered by the ADGM Arbitration Centre. If mediation fails, the dispute shall be finally resolved by arbitration in accordance with the ADGM Arbitration Rules. The arbitration shall be conducted in English, and the seat of arbitration shall be Jakarta, Indonesia.
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you through a prominent notice on the platform or via email. Material changes will not take effect until at least 30 days after the notice is provided.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and close your account before the changes take effect. We encourage you to review these Terms periodically to stay informed of any updates.
